ResellMark Affiliate Agreement

1. Eligibility

• You must be at least 18 years old and participate in a professional, business, commercial, or independent affiliate capacity.
• Enrollment is self-service and does not normally require manual approval. NivdoX AI may apply security and fraud controls and may pause or disable participation for suspected abuse.
• NivdoX AI may request reasonable identity, tax, payout, or business documentation when needed for compliance or payout administration.

2. Program structure

ResellMark provides you with a unique Affiliate referral link. You earn commission only from eligible paid subscriptions attributed under this Agreement.

The Program is non-exclusive. There is no minimum posting, referral, sales, or working-hours requirement. You decide whether, when, where, and how to create content, subject to applicable law, platform rules, and these compliance requirements.

3. Referral attribution

A new ResellMark account must be created through a valid Affiliate referral link. Existing accounts are not retroactively attributed. The first valid Affiliate attribution remains authoritative, and later Affiliate links do not replace or steal it.

Fraud, self-referral, manipulation, or other invalid activity may invalidate attribution.

4. Standard commercial terms

The standard Program terms are 30% commission for 12 calendar months per referred customer, a 30-day holding period, and a $25 USD payout threshold for USD balances.

Affiliate-specific or referral-specific commercial terms stored by ResellMark override these Program defaults where applicable. Referral-specific terms are frozen for historical commission economics.

5. Eligible revenue

Eligible revenue is actual, successfully collected subscription revenue. Tax is excluded. Discounts and credits reduce eligible revenue. Stripe or other payment-processing fees do not reduce the commission base.

No commission is earned on free, complimentary, test, fraudulent, or unsuccessful payments.

6. Commission period

The commission period begins with the referred customer's first successful eligible payment and lasts 12 calendar months under the standard terms. Cancellation does not restart that period. Reactivation within the original window may generate commission, but it does not create a new 12-month window.

7. Holding period

Commission is initially Pending and becomes Available after the applicable holding period if it remains eligible.

8. Refunds, chargebacks, and reversals

A refund, chargeback, or other payment reversal may reverse the corresponding commission. ResellMark preserves the historical ledger. If commission has already been paid, the reversal is recorded as a future negative balance or adjustment instead of deleting payout history.

9. Payouts

Payouts are manually reviewed and made manually. No automatic payout date is guaranteed. Each currency is tracked and paid separately; ResellMark does not automatically convert or combine currencies.

You must provide accurate payout, tax, and business details. NivdoX AI may require lawful tax, business, identity, or payment documentation and may perform legally required reporting or withholding.

A payout may be delayed because required information is missing, during a legitimate fraud or compliance investigation, or because of a payment-provider or legal restriction.

10. Affiliates Portal

The Affiliates Portal identity is separate from a normal ResellMark product account. You do not need to be a ResellMark reseller or product user to participate.

11. Optional product access

Complimentary ResellMark Plus or controlled beta access is separate from the Affiliate Program. It does not control referral ownership or commission eligibility and may be changed independently. Connected eBay access is not an exclusive Affiliate benefit.

12. Advertising disclosure

You must disclose your affiliate or commercial relationship wherever required. The disclosure must be clear, prominent, understandable, noticeable, and in a language appropriate for the content. You must disclose that you may earn commission, and disclose complimentary product access where relevant.

• For Norwegian content, use clear wording such as “Reklame” or “Annonse” where applicable.
• For content directed to the United States, clearly and conspicuously disclose the affiliate relationship.
• Video may require disclosure inside the video, and livestreams may require periodic disclosure.
• Platform disclosure tools do not automatically replace your legal disclosure duties.

13. Truthful promotion

You may give your genuine opinion and do not have to be positive.

• Do not make false or misleading claims or claim unverified functionality or results.
• Do not guarantee profit, sales, or resale outcomes, or fabricate testimonials or results.
• Do not claim eBay endorsement or affiliation, make commitments for NivdoX AI, or conceal the financial relationship.

14. Prohibited promotion

Without written approval, you may not:

• Impersonate ResellMark or NivdoX AI, register misleading domains or accounts, or misuse trademarks or logos.
• Bid on NivdoX AI or ResellMark branded search terms to intercept traffic.
• Cookie stuff, manipulate attribution, create fake accounts or subscriptions, self-refer, or use deceptive redirects.
• Send unlawful unsolicited commercial communications or publish unauthorized coupons or deals.
• Imply a nonexistent affiliation with eBay.

15. Brand license and Affiliate content

NivdoX AI grants you a limited, revocable, non-exclusive, non-transferable license to use approved ResellMark assets solely to promote the Program. NivdoX AI retains its intellectual property.

You retain your original content. This Agreement does not automatically grant NivdoX AI broad reuse rights to your name, image, or content.

16. Customer privacy

You may receive only limited referral information necessary for Program administration. You must not receive connected eBay data, inventory, orders, sales, detailed financial data, passwords, payment credentials, or unnecessary personal information.

You may not use referral information for direct marketing unless you independently have a lawful basis to do so.

17. Independent relationship

This Agreement does not create employment, agency, partnership, franchise, or joint venture. You control your time and output, choose whether and how often to publish, use your own channels and equipment, bear your ordinary costs, and have no exclusivity or authority to bind NivdoX AI. Actual legal classification remains governed by applicable law and facts.

18. Monitoring and compliance

NivdoX AI may reasonably review public content promoting ResellMark and request correction or removal of non-compliant content. Serious or repeated violations may result in suspension or termination.

19. Pause and termination

Either side may end participation. NivdoX AI may terminate immediately for serious fraud, manipulation, misleading advertising, unlawful promotion, privacy or brand abuse, or material breach. New referrals stop while Paused or Ended unless explicitly allowed.

Existing valid referrals continue under their frozen terms after ordinary termination, and legitimate historical commission remains. Fraudulent or directly affected commission may be reversed, but unrelated legitimate earned commission is not automatically confiscated. Disputed payments may be temporarily held during a reasonable investigation.

20. Program changes

Future Program terms may change. Material adverse changes should be communicated where practical; law, security, fraud, or platform changes may take effect sooner. Historical stored referral-specific terms are not retroactively reduced. A material new Agreement version may require renewed acceptance.

21. Promotion Rules

Separate Affiliate Promotion Rules may clarify compliance, but they cannot retroactively reduce historical commercial terms.

22. Confidentiality

Clearly non-public or confidential product and security information must not be disclosed. This does not restrict information already public, lawfully received without a duty of confidence, independently developed, or lawfully required to be disclosed.

23. Liability

NivdoX AI does not guarantee traffic, referrals, conversions, or income. To the fullest extent permitted by law, neither side is liable for indirect, incidental, or consequential loss, and NivdoX AI's aggregate liability is capped at total commission paid or payable to you during the preceding 12 months.

Nothing excludes fraud, intentional misconduct, liability that cannot lawfully be limited, or legitimate commission obligations.

24. Affiliate responsibility

To the extent permitted by law, you are responsible for third-party claims or loss caused by your unlawful or deceptive promotion, intellectual-property infringement, missing required disclosures, unauthorized promises, fraud, or manipulation.

25. Governing law and disputes

This Agreement is governed by the laws of Norway. Before ordinary litigation, the parties will attempt in good faith for 30 days to resolve a written dispute. Urgent interim or injunctive relief remains available. Vestfold tingrett, Norway has exclusive jurisdiction to the fullest extent permitted by law. Mandatory non-waivable law and jurisdiction remain unaffected.

26. Notices

Notices may be sent to your Affiliates Portal email, which you are responsible for keeping current. Important notices may also appear in the Affiliates Portal.

27. Acceptance record

Acceptance requires an explicit action; silence or inactivity is not acceptance. ResellMark records the Affiliate ID, Portal identity, Agreement version, document hash, UTC acceptance timestamp, Privacy acknowledgement, and audit evidence. Your confirmation and the applicable version remain accessible.

28. Privacy

Personal-data processing is governed by the ResellMark Privacy Notice. Accepting this Agreement is not blanket consent for unrelated data processing.

29. Severability and waiver

If a provision is unenforceable, the remaining provisions continue to apply to the fullest lawful extent. A failure or delay in enforcing a provision is not a waiver.

30. Entire agreement

This Agreement, affiliate-specific recorded terms, applicable Affiliate Promotion Rules, and frozen referral-specific terms form the entire agreement for the Program. Frozen referral-specific commercial terms control historical commission economics.

31. Language

The English version controls. Any translation is provided for convenience only.

32. Operator
